Notice to Members: Proposed Amendments to the Constitution Ahead of 2025 Special General Meeting

As part of our ongoing commitment to good governance and operational efficiency, Cricket Tasmania is proposing several amendments to the Constitution of the Tasmanian Cricket Association (ACN 009 476 993). These changes will be presented for member consideration at the Special General Meeting which will follow the upcoming Annual General Meeting.

The proposed amendments are designed to reflect current operational needs and ensure the continued effectiveness of our committees and governance structures. A summary of the key changes is outlined below:

  1. Board Composition (Clause 10)
  • Proposed Change: Correct a typographical error in the first line by replacing “twelve” with “eleven”.
  • Rationale: This amendment ensures the Constitution accurately reflects the current Board structure, which comprises eleven members. It is a housekeeping change to align the document with existing governance arrangements.
  1. Nomination Process (Clause 11.3)
  • Proposed Change: Update the process for displaying nominated persons.
    • Current wording: “Upon receiving any such nomination, the Board shall cause the name of each nominated person to be displayed at the Office of the Association, for inspection by the members.”
    • Proposed wording: “Upon receiving any such nomination, the Board shall cause the name of each nominated person to be displayed in the Association’s Notice of Annual General Meeting.”
  • Rationale: This change modernises the nomination process and ensures transparency through digital and formal AGM communications.
  1. Premier League Committee Composition (Clause 31.1(b))
  • Proposed Change: Amend Clause 31.1(b) to increase the number of Directors appointed by the Board to the Premier League Committee.
    • Current wording: “up to two (2) Directors as appointed by the Board;”
    • Proposed wording: “up to three (3) Directors as appointed by the Board;”
  • Rationale: This amendment addresses the need for additional support within the Premier League (PL) Committee. Given the workload of the Chair of Cricket Tasmania, it is no longer feasible for the Chair to also lead the PL Committee. However, their continued involvement remains valuable due to their experience. The addition of a third Director allows for shared leadership and continuity, particularly in the absence of an independent chair.

 

Next Steps

These proposed amendments will be formally presented at the Special General Meeting. Members are encouraged to review the changes and participate in the meeting to have their say.
